Questions of the interpretation of contractual clauses arise daily for practitioners drafting contracts or resolving contractual disputes.

Commercial Contract Clauses: Principles and Interpretation is the first systematic analysis of the process of construing and interpreting commercial contracts, to the benefit of Australian lawyers. In this new work, Joshua Thomson and Kenneth Martin QC of the Western Australian bar, and Leigh Warnick of Blake Dawson Waldron, apply their wide experience in elucidating matters of commercial significance and value.

Taking seriously the challenge of filling a gap in Australian law, both the work’s content and its structural organisation align with legal practice. The work opens with topics where knowledge is often wrongly assumed – the process of construction, and issues regarding the operation of deeds. The authors then move to areas of difficulty for lawyers, looking at: 

• Clauses creating particular types of obligation, including money obligations. 
• Clauses that may cause problems, yet are commonly included, as with express good faith clauses. 
• Clauses governing or limiting remedies which contracting parties may claim, as consequential loss clauses.

Offered as an updating subscription, the publication will continue to develop together with Australian law and practice.
