Commencing with contractual formation, pre-conditions, formal requirements and parties, the work proceeds to a discussion of vitiating factors including misrepresentation, misleading or deceptive conduct, unconscionability and mistake.
It provides detailed coverage of the terms of the standard contract encompassing execution, warning notices, particulars of sale with an in-depth analysis of the 40 General Conditions. It concludes with post-completion issues such as merger, registration of the transfer and other post settlement matters.
New Developments
The Second Edition incorporates significant new developments, such as:
- New 2025 LIV/REIV Standard Contract of Sale of Land, with commentary on the January 2024 version still included;
- New coverage addressing the position of the parties under an uncompleted contract;
- Chapter 8 expanded to address the position of the parties under an uncompleted contract; and
- New chapters on sales by auction, and options to purchase land, have been added.
In addition, the work is extensively revised to reflect legislative developments including:
- Windfall Gains Tax Act 2021 (Vic);
- Commercial and Industrial Property Tax Reform Act 2024 (Vic); and
- Amendments to the Sale of Land Act 1962 (Vic).
