Victorian Land Contracts Second Edition guides practitioners advising those who are involved in property sale and purchase transactions through all stages of the contractual process.

Commencing with consideration of contract formation, pre-conditions, formal requirements and parties to the contract, the work proceeds to a discussion of vitiating factors including misrepresentation, misleading or deceptive conduct, unconscionability and mistake.

It provides detailed coverage of the terms of the standard contract encompassing execution, warning notices, the particulars of sale, and an in-depth analysis of the 35 general conditions. It concludes with chapters considering off-the-plan sales, dispute resolution, post-completion issues such as merger and registration of the transfer, auction sales and options.

New Features

The Second Edition takes into account significant developments since the first edition, including publication of the September   2025 LIV/REIV standard Contract of sale of land, with commentary on the January 2024 version being retained.

Chapter 8 has been expanded to address the position of the parties under an uncompleted contract.

There are two entirely new chapters on sales by auction and options to purchase land respectively.

In addition, the work has been extensively revised to reflect legislative developments since the first edition, including:

  • Windfall Gains Tax Act 2021 (Vic)
  • Commercial and Industrial Property Tax Reform Act 2024 (Vic)
  • Amendments to the Sale of Land Act 1962 (Vic)  

The work also takes into account significant case law since preparation of the first edition, including:
